Terms of Service

These Terms of Service ("Terms") are an agreement between you and Fractal Works, Inc. ("Fractal Works," "we," "us," or "our"). They govern your use of AutoRouter's websites, desktop app, API, and related services (together, the "Service"). By creating an account, installing the desktop app, or using the Service, you agree to these Terms and acknowledge our Privacy Policy. If you don't agree, don't use the Service.

1. Your account

You must be at least 18 and able to form a binding contract to use the Service. You may not use the Service if the laws of the United States or other applicable laws, including sanctions laws, bar you from doing so. If you use the Service for an organization, you confirm that you're authorized to accept these Terms for it, and "you" includes that organization.

Keep your account information accurate. You're responsible for activity under your account, including requests made with your installation credential, which the desktop app saves in your agent apps' settings. Keep your Mac and sign-in methods secure, and tell us promptly at support@autorouter.com if you suspect unauthorized use.

2. The Service

AutoRouter connects supported agent apps (currently Codex and Claude Code on macOS) to AI models. When you select AutoRouter in an agent app, the Service chooses a model for your request based on your routing settings, the request, your subscription allowance, model prices and availability, and other information, then delivers the request to the provider that runs that model. When you select a specific model, the Service delivers your request to that model without choosing one for you.

Alpha. The Service is an early alpha release. Features, supported apps, models, routing behavior, prices, and availability may change, and the Service may contain errors, be interrupted, or lose functionality. Don't rely on it as your only way to reach AI models for time-sensitive or critical work. We may change, suspend, or discontinue all or part of the Service. Where practical, we'll give you advance notice of material changes.

Routing choices. Automatic routing is a judgment, not a guarantee. We don't promise that the Service will choose a particular model or the best, fastest, or least expensive model for a task, or that you'll save money. Different models may behave differently in your agent app. If the Service can't choose or reach a model, your request may fail instead of switching to another model.

3. The desktop app

License. Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable license to install and use the desktop app on Macs you own or control, solely to use the Service.

Changes to your agent apps. When you connect an agent app, you authorize the desktop app to change that app's settings so it sends model requests to AutoRouter. These changes can include adding AutoRouter as a model provider, adding models to its model picker, adding hooks and status information, and saving your installation credential. The desktop app saves a copy of your previous settings and may ask you to restart your agent apps to apply changes. Turning off a connection in the desktop app removes AutoRouter's changes from that app's settings. Other tools that edit the same settings can conflict with these changes, so keep your own backups of configurations that matter to you.

Your agent apps keep using AutoRouter until you disconnect them. Signing out of or quitting the desktop app doesn't disconnect your agent apps. Their requests continue to go through the Service, and paid requests continue to use your credits, until you turn off the connection in the desktop app or your access ends.

Permissions. Some features use optional macOS permissions, such as Accessibility and Screen Recording, as described in our Privacy Policy. The desktop app opens at login by default, and you can change this in its settings.

Updates. The desktop app checks for updates automatically, downloads them in the background, and installs them when you choose to restart it or the next time you quit it. You agree to receive these updates. Older versions may stop working with the Service, and you may need to update to keep using it.

4. Agent apps, subscriptions, and providers

Third-party agent apps. Codex, the ChatGPT app, Claude Code, and other agent apps are provided by third parties under their own terms. We don't control those apps, the tools they use, the permissions you give them, or the actions they take on your computer.

Your subscriptions. When a request uses a model included in your ChatGPT or Claude plan, your agent app sends your sign-in credential for that plan with the request. You authorize us to pass that credential to the provider that issued it, and to use it to check your plan's remaining allowance, solely to deliver your requests. Those requests count toward your plan's limits. Your plan, its models, and its limits are between you and your provider, and the provider may change or restrict them.

Provider terms. You're responsible for complying with the terms and usage policies of your agent apps, your subscriptions, and the model providers that handle your requests, including any rules about how you may access your subscription. We aren't responsible for a provider's decisions, including if a provider limits, suspends, or terminates your access to its services. Connecting an account through AutoRouter doesn't give you rights beyond what its provider permits. Model availability, subscription limits, provider policies, and third-party outages can affect your use of the Service.

Other models. Models outside your subscriptions are provided through Ramp Router, a third-party model gateway, and the providers it uses. Their availability, performance, and policies are outside our control.

AutoRouter isn't affiliated with or endorsed by OpenAI, Anthropic, or other providers unless we say so. Their names and marks belong to their owners.

5. Credits and payments

Credits. Credits are a prepaid U.S. dollar balance used to pay for model usage that your subscriptions don't cover, such as models provided through Ramp Router. Requests covered by your ChatGPT or Claude plan don't use credits. Credits are a balance for use with the Service, not a bank account. They have no cash value, earn no interest, and can't be transferred, sold, or exchanged.

Purchases. You can buy credits in the amounts shown in the Service. Stripe processes payments, and you authorize us and Stripe to charge your payment method for each purchase you confirm. Prices are in U.S. dollars, and you're responsible for any applicable taxes. We don't save your payment method or charge you automatically.

How usage is charged. Each paid request is charged the cost reported by the provider or, when no cost is reported, a cost calculated from the model's published token prices at the time of the request. We currently charge this cost without markup. Provider prices can change at any time, and those changes apply to later requests. If we change our pricing method, such as by adding a fee or markup, we'll notify you at least 14 days in advance. Costs shown before or during a request are estimates. Requests that fail or are interrupted may still be charged if the provider charges for them.

Your balance. A paid request starts only if your balance is above zero. Requests already in progress can finish after your balance runs out, and requests running at the same time can together exceed it, so your balance can become negative. You're responsible for all usage charged to your account. A negative balance is repaid from your next purchase, and paid requests stay unavailable until your balance is positive again.

Refunds. Credits don't expire. Purchased credits are non-refundable, except that we'll correct billing errors, such as duplicate or incorrect charges, that you report within 60 days, and we'll provide refunds where the law requires. If we refund a payment, we remove the matching credits, which can make your balance negative. If we discontinue the Service, or close your account for a reason other than your breach of these Terms, we'll refund your unused purchased credits. Send billing questions and refund requests to support@autorouter.com.

Payment disputes. Please contact us before disputing a charge with your bank. If you dispute a charge, we may suspend paid usage on your account while the dispute is resolved and remove the disputed credits.

6. Your content

"Content" means the prompts, code, files, images, and other inputs you or your agent apps send through the Service ("Inputs") and the responses you receive ("Outputs"). As between you and us, you keep your rights in your Inputs and, to the extent the law allows, own your Outputs. We don't claim ownership of your Content.

You grant us a worldwide, non-exclusive, royalty-free license to process, transmit, store, and display your Content only as needed to provide, secure, and support the Service, including sending it to the routing and model providers described in our Privacy Policy. We don't use your Content to train AI models. During our alpha, provider error responses are logged in full and may include Content a provider repeats back, as our Privacy Policy explains.

You're responsible for your Content. You must have the rights and permissions needed to submit it, including for any personal information about others, and submitting it must not violate the law or anyone's rights. Agent apps can include the contents of files in your workspace, so review what your agent apps can access. Outputs may be similar to content generated for others, and your rights in Outputs may also be subject to the relevant provider's terms.

7. AI outputs and agent actions

AI models make mistakes. Outputs may be inaccurate, incomplete, outdated, insecure, or offensive, and generated code may contain bugs or vulnerabilities. Evaluate Outputs, with human review where appropriate, before relying on them, and don't treat them as professional advice.

Agent apps can take actions on your computer, such as editing files and running commands. AutoRouter chooses which model answers a request but doesn't control what your agent app does with the answer, and different models may follow instructions differently. Use your agent app's approval and sandbox settings, keep backups and version control for important work, and review actions before you approve them. You're responsible for actions you approve or allow your agent apps to take.

Don't use the Service, without appropriate human oversight, to make decisions with legal or similarly significant effects on people or in systems where a failure could cause injury, death, or serious damage.

Some parts of the Service, such as downloading the desktop app, may require an invitation. Invite codes are personal: don't sell them or distribute them through spam. We may offer promotional credits, such as sign-up, referral, or feedback rewards. Promotional credits have no cash value, aren't refundable, may have conditions or expiration dates we state when we offer them, and may be changed or ended at any time. We may withhold or remove promotional credits and rewards obtained through fraud, abuse, or violation of these Terms.

10. Our rights and your feedback

Fractal Works and its licensors own the Service, the desktop app, and our software, content, and brands, which are protected by law. Except for the license in Section 3, these Terms don't grant you any rights in them. Open-source components are governed by their own licenses. If you send us feedback or suggestions, we may use them without restriction or compensation to you.

11. Suspension and termination

You can stop using the Service at any time. To disconnect, turn off your agent app connections in the desktop app, then uninstall it. To delete your account, email support@autorouter.com.

We may suspend or terminate your access if you violate these Terms, if your use creates risk or harm for us, other users, or providers, if your account has an unpaid negative balance, or if the law requires it. Where practical and lawful, we'll notify you and give you a chance to resolve the issue first. If your access ends, requests from connected agent apps will fail until you turn off their connections in the desktop app or remove AutoRouter's changes from their settings.

When your access ends, your license to the desktop app ends and unused promotional credits are forfeited. Unused purchased credits are handled as described in Section 5. Provisions that by their nature should survive, including Sections 5 (for amounts owed), 6, 10, and 12 through 18, survive termination.

12. Disclaimers

To the extent the law allows, the Service is provided "as is" and "as available." We and our licensors and providers disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, secure, or error-free, that routing choices or cost estimates will be accurate or optimal, or that Outputs will be accurate or suitable for your purposes. We aren't responsible for third-party agent apps, subscriptions, or model providers.

13. Limitation of liability

To the extent the law allows, neither we nor our licensors or providers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service or these Terms, even if we've been advised of the possibility. Our total liability for all claims arising from or related to the Service or these Terms won't exceed the greater of US$100 or the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.

These limits apply to every theory of liability, even if a remedy fails of its essential purpose. They don't limit liability that the law doesn't allow us to limit, such as for fraud, gross negligence, or willful misconduct, or rights you have under mandatory consumer protection laws.

14. Indemnification

To the extent the law allows, you'll defend, indemnify, and hold harmless Fractal Works and its affiliates, officers, employees, and agents against third-party claims, losses, and expenses, including reasonable attorneys' fees, arising from your Content, your use of the Service in violation of these Terms or the law, or your violation of a third party's rights or a provider's terms. We'll notify you of any such claim and may participate with our own counsel. This section doesn't apply to the extent a claim results from our own misconduct.

15. Dispute resolution and arbitration

Informal resolution first. Most concerns can be resolved quickly. Before starting an arbitration or court case, you and we agree to try to resolve the dispute informally for at least 60 days. Send notice to support@autorouter.com with your name, the email address on your account, a description of the dispute, and the relief you want. We'll send notice to the email address on your account.

Agreement to arbitrate. If a dispute isn't resolved informally, you and Fractal Works agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service, including their formation, scope, or enforceability (a "Dispute"), will be resolved by final and binding individual arbitration, except as described below. The Federal Arbitration Act governs this section. The American Arbitration Association ("AAA") will administer the arbitration under its Consumer Arbitration Rules then in effect, available at adr.org. The arbitrator may award the same individual relief a court could, but only to the party seeking relief and only as needed for that party's claim. The arbitration will take place by video conference, in the county where you live, or at another location we agree on. The AAA's rules govern fees. We'll pay the fees those rules require a business to pay, and we won't seek our attorneys' fees from you unless the arbitrator finds your claim frivolous.

Exceptions. Either of us may bring an individual claim in small claims court if it qualifies and stays there. Either of us may also ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorized access to the Service.

No class actions or jury trials. You and we may bring Disputes only individually, not as a plaintiff or class member in any class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over a class or representative proceeding. If a court decides that this paragraph can't be enforced for a particular claim or remedy, that claim or remedy will be severed and decided by a court after any arbitration of the remaining claims. You and we waive any right to a jury trial.

30-day opt-out. You can opt out of this arbitration agreement by emailing support@autorouter.com with the subject "Arbitration opt-out" within 30 days after you first accept these Terms. If you accepted an earlier version of our Terms, you can opt out within 30 days after this version is posted. Include your name and the email address on your account, and state that you're opting out. Opting out doesn't affect the rest of these Terms.

Changes to this section. If we make a material change to this section, you can reject it by emailing us within 30 days after the change takes effect, and the previous version of this section will continue to apply to you.

Where this section doesn't apply. If you're a consumer living in the European Economic Area, the United Kingdom, or Switzerland, this section doesn't apply to you, and you may bring claims in the courts where you live.

16. Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and, for Section 15, by the Federal Arbitration Act. Any Dispute that isn't arbitrated or brought in small claims court must be brought exclusively in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Nothing in these Terms takes away protections you have under the mandatory consumer laws of the place where you live.

17. Changes to these Terms

We may update these Terms as the Service evolves, and we'll post the updated Terms with a new date. For material changes, we'll notify you by email or in the Service at least 14 days before they take effect, except for changes required by law or that address new features, security, or abuse, which may take effect sooner. Changes apply going forward. If you keep using the Service after changes take effect, you accept them. If you don't agree, stop using the Service and disconnect your agent apps.
